tripla USA, Inc.

TERMS OF SERVICE

Effective Date: 29th September, 2026 | Version: 1.0

FOR U.S. CUSTOMERS ONLY: These Terms include an agreement to mandatory arbitration, which means you agree to submit any dispute related to this Platform, the use of our services, or these Terms to binding arbitration rather than proceeding in court. You may opt-out of this mandatory arbitration agreement within 30 days of first acceptance. These Terms also include a jury trial waiver.

IMPORTANT: These Terms of Service (“Terms”) govern your use of tripla USA, Inc.’s online travel agency platform and booking services. By creating an account or making a booking, you agree to these Terms. Please read them carefully.

ACCEPTANCE: You must affirmatively accept these Terms by checking the “I agree” box during account creation or before completing your first booking. If you do not agree, you may not use our services.

These Terms and the documents referred to in them, including our Privacy Policy, Cancellation Policy, Refund Policy, and FAQs, constitute a legally binding agreement between you and tripla USA, Inc. If you do not agree to any part of these Terms, you should stop using the Platform immediately.

1. Platform Role & Relationship with Travel Suppliers

tripla USA, Inc. operates as an online travel agency (OTA) that facilitates bookings between travelers and third-party travel suppliers (hotels, airlines, car rental companies, tour operators, activity providers, and others). We are an intermediary, not a travel supplier. A non-exclusive, non-transferable, non-sub-licensable, revocable, and limited license is granted to you to access our Platform for personal, non-commercial use in accordance with these Terms.

Contract Formation

If you complete payment for your booking directly through our Platform (the prepay/online payment flow), tripla USA, Inc. is the merchant of record: we contract with you for the booking and separately contract with the Travel Supplier to fulfill the reservation. If, instead, you are directed to complete payment directly through a Travel Supplier’s own website or payment page (the on-site payment flow), you enter into a direct contract with that Travel Supplier, and these Terms do not govern that transaction. The applicable flow will be indicated during checkout.

Our Responsibilities

We are responsible for: providing an accurate booking platform; transmitting booking information to suppliers; processing payments according to disclosed terms; providing customer support for booking-related issues; and maintaining Seller-of-Travel registration where required. We are NOT responsible for guaranteeing supplier availability or honoring of reservations, the quality, safety, or condition of accommodations or services, liability for supplier negligence or failure to perform, or compensating for supplier bankruptcy or insolvency.

Travel suppliers are independent businesses, not our employees, agents, or partners. We do not control, supervise, or direct supplier operations. You acknowledge and agree that tripla USA, Inc. does not directly or indirectly operate or control any Travel Product, and that we have no control over or responsibility for any arrangements you make with them. If there is a dispute between you and any Travel Supplier or other third party, tripla USA, Inc. is under no obligation to become involved. In the event of non-performance of any Confirmed Booking, including from bankruptcy, insolvency, dissolution, or liquidation of a Travel Supplier, your recourse will be against such Travel Supplier and not against us.

Regardless of your state of residence, you remain entitled to the protections of your state’s general consumer protection laws, which apply independently of tripla USA, Inc.’s Seller-of-Travel registration status.

3A. Governing Law, Jurisdiction, and Venue

These Terms and your use of our Platform are governed by the laws of the State of Washington, without regard to its conflict of law principles, except to the extent preempted by federal law.

State law consumer protections: Nothing in these Terms limits your rights under mandatory consumer protection laws of your state of residence.

Savings clause: If any provision of these Terms conflicts with applicable law, that provision shall be reformed to the minimum extent necessary to comply with law, and all other provisions remain in full effect. Severability: If any provision is held invalid or unenforceable, remaining provisions remain in effect.

4. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or make a booking. Users of the Platform should have the full legal capacity to enter into contracts, or have authorization to do so from a legal guardian. This age limitation applies to all uses of the Platform, including browsing for informational purposes.

You agree to provide and maintain true, current, and complete information during registration. You may not select or use a username that impersonates another person, or a name or trademark that is subject to the rights of another person without appropriate authorization. You are responsible for all activities occurring under your account and must immediately notify us of any unauthorized use.

We may at our sole discretion refuse registration of, or cancel, an existing account without prior notice or liability. We also reserve the right to bar or block users from our Platform on a permanent or temporary basis. If you are blocked, you agree not to attempt to use our Platform under any other name or through any other user account.

5. Platform Content and Availability

We make no guarantees as to the authenticity, accuracy, or completeness of any content on our Platform, including content provided by other users or our Travel Suppliers. Displayed prices for Travel Products are dynamic and can change during or after your search. Once you have a Confirmed Booking, subsequent changes in displayed prices will not affect the price of your booking. All information about Travel Products, including ratings, rankings, and reviews, is provided to us by the corresponding Travel Suppliers or their representatives.

Our Platform does not constitute and should not be regarded as a recommendation or endorsement of any Travel Product or Travel Supplier. We may from time to time offer certain programs under which Travel Suppliers may improve their visibility on our Platform, including through sponsored listings. Such listings will be clearly marked.

6. Bookings

When you submit a booking through our Platform, you make an offer to book the specified Travel Product(s) subject to these Terms (“Booking Request”). Your booking is made directly with the Travel Supplier(s) named on the booking page. Our Platform acts only as a facilitator. We do not provide, own, or control any of the Travel Products and we have no obligation to provide or operate them.

A “Confirmed Booking” occurs when the Travel Supplier accepts your Booking Request, which is communicated to tripla USA, Inc., and subsequently confirmed to you via a confirmation email. You acknowledge that the “thank you page” shown after submission of your Booking Request does not indicate a Confirmed Booking and only indicates that your Booking Request has been received for processing.

Where booking facilitation services are provided using infrastructure operated by tripla Co., Ltd. or its group entities, confirmation of your Booking Request may be processed through tripla Co., Ltd.’s systems before being communicated to you. All such processing is subject to the privacy and security standards described in our Privacy Policy.

We reserve the right to reject any Booking Request without reason. Once a Confirmed Booking exists, we may cancel it only where: (1) the Travel Supplier is unable to honor the booking; (2) you are in breach of these Terms or applicable law; (3) we have a reasonable, good-faith basis to suspect fraud or abuse; or (4) cancellation is necessary to comply with law. If we cancel a Confirmed Booking for any reason other than your own breach or fraud, we will refund all amounts you have paid for the canceled portion in full, consistent with applicable Seller-of-Travel law. Nothing in this Section limits any refund rights you may have under California, Washington, Hawaii, or Florida Seller-of-Travel law or other applicable consumer-protection law.

7. Pricing, Fees, Taxes & Payment Terms

All prices are displayed and charged in U.S. Dollars (USD) only; tripla USA, Inc. does not offer a currency selector and does not support display, charging, or settlement in any currency other than USD. The Total Price shown at checkout consists of: the base rate charged by the supplier; taxes (occupancy taxes, sales taxes, airport taxes, and other government-imposed charges); supplier fees (resort fees, facility fees, cleaning fees, carrier-imposed surcharges, where applicable); and any applicable processing or currency conversion fees described below. tripla USA, Inc. does not currently charge a separate platform or OTA service fee in addition to the booking amount.

ALL MANDATORY CHARGES DISCLOSED: The Total Price includes all charges we are legally required to disclose at the time of booking. You will not be charged additional fees by us after booking is confirmed, except as described below.

Additional charges that may apply AT PROPERTY (not collected by us): incidental charges (room service, minibar, parking), optional services, damage deposits, and local tourism taxes not collected at booking. Resort fee disclosure: Any resort, facility, or similar mandatory fees charged by a property are disclosed by the property and are the responsibility of the guest.

Dynamic pricing: We may use dynamic pricing algorithms that adjust prices based on demand, availability, user behavior, and market conditions. Prices may vary between users and searches. Pricing errors: If a price is displayed incorrectly due to typographical error, system malfunction, or outdated information, we reserve the right to cancel the booking and refund your payment.

Currency and Exchange Rates

International bookings may include a currency conversion fee of approximately 4–5%. This fee reflects the fact that, while you are charged in USD for your convenience, the underlying Travel Supplier is paid in its local currency (for example, Japanese Yen for bookings at Japan-based properties); tripla USA, Inc. bears the resulting foreign-exchange risk and charges this fee accordingly. This fee is separate from, and in addition to, any international transaction or foreign-currency fee your own card issuer may separately charge you for a USD transaction, which is outside our control.

8. Payment Processing & Funds Flow

A credit card, debit card, digital wallet, or such other payment method as we may from time to time accept (“Payment Instrument”) will be required to make a booking. We may offer “Pay Now,” “Book Now, Pay Later,” or “Pay at Hotel” options.

You authorize us to charge or debit your Payment Instrument for the full booking amount once you have submitted your Booking Request. Upon our collection of your full payment, your obligation to the Travel Supplier for that amount is extinguished, and in the event that we do not remit any such amounts, the Travel Supplier will have recourse only against us.

Payments are processed by Adyen, a PCI DSS Level 1 certified payment service provider. We do not store your full payment card number or CVV code. The charge on your credit card statement will appear as “tripla Hotel Booking,” consistently across all transaction types (bookings, cancellations, and refunds).

Failed payments: If your payment is not successfully authorized, your booking is not completed and no Travel Supplier inventory is held on your behalf. You may attempt to complete your booking again with a valid Payment Instrument. Refunds, where applicable, are described in Section 9.

Payment disputes and chargebacks: If you dispute a charge with your credit card issuer, we may suspend your account pending resolution. Before filing a chargeback, contact customer support to resolve the issue directly.

9. Cancellations, Changes & Refunds

If you wish to review, adjust, or cancel your reservation, please follow the instructions in the confirmation email, use our self-service tool, or contact Customer Service. Cancellation, changes, and no-show policies are set by travel suppliers (hotels, airlines, etc.) and vary widely by supplier, booking type, and rate selected.

Rate types: Non-refundable rates cannot be canceled or changed for a refund and the full amount is charged immediately. Free cancellation rates may be canceled without penalty if canceled before the deadline. Some bookings have tiered cancellation fees. Flexible rates allow changes and cancellations with minimal or no penalty but typically cost more.

Cancellation deadlines are in the local time zone of the property unless otherwise stated. Please be advised that certain reservations may be non-refundable, non-cancellable, and/or non-changeable.

Cancellation Processing Fee: If you cancel a prepaid booking, a cancellation processing fee of approximately 3–4% of the total amount paid will apply. This fee applies to all cancellations of prepaid bookings, including bookings that would otherwise be eligible for a full refund under the applicable hotel’s cancellation policy, and reflects processing costs charged to us by our payment processor. The applicable fee amount will be disclosed before you complete payment. This fee is separate from, and in addition to, any cancellation terms imposed by the Travel Supplier under its own cancellation policy.

No-show policy: If you fail to check in or cancel and do not arrive, the full amount is forfeited even if the original policy allowed free cancellation. Always cancel before the check-in date if you cannot travel.

Force majeure and extraordinary circumstances: Travel supplier policies govern cancellations due to weather, natural disasters, pandemics, public health emergencies, government restrictions, war, terrorism, or civil unrest. We will work with suppliers to provide flexibility where possible, but we cannot guarantee refunds. Travel insurance is strongly recommended.

Supplier cancellation: If a supplier cancels your booking, you are entitled to a full refund. We will assist you in finding alternatives but are not responsible for price differences.

Statutory Refund Rights (Seller-of-Travel Laws)

California: Under California law (Bus. & Prof. Code § 17550.14), you may be entitled to refunds in certain circumstances regardless of the cancellation policy selected by the Travel Supplier. California law also requires us to maintain transaction records, including refund-related records, for a minimum of three years. Washington: RCW 19.138 provides consumer protections regarding refunds. Florida: Fla. Stat. §§ 559.926–.939 (Sellers of Travel Act) requires compliance with refund and bonding obligations. Hawaii: HRS Chapter 468L requires tripla USA, Inc. to maintain a client trust account for consumer funds and provides consumer protections regarding travel agency practices. To simplify operations and ensure compliance with the most stringent applicable requirement, tripla USA, Inc. applies a uniform minimum retention period of three years (measured from the date of travel completion, or booking date if travel does not occur) to booking and transaction records across all four states in which we are registered as a Seller of Travel. Contact the relevant state agency if you believe your refund rights have been violated. If you request deletion of your personal information under the California Consumer Privacy Act (as amended), we may retain your booking and transaction records, notwithstanding that request, for so long as necessary to comply with these Seller-of-Travel recordkeeping obligations, after which such records are anonymized. See our Privacy Policy for more information.

10. Travel Supplier Terms Incorporated by Reference

When you book travel services, you also agree to the terms and conditions of the travel supplier. Supplier terms are typically accessible via links on the property/supplier page, in your booking confirmation, or on the supplier’s website.

You acknowledge that you have reviewed, understand, and agree to the applicable supplier terms, or that you will review them before traveling. If there is a conflict between these Terms and a supplier’s terms regarding actual travel services: (1) supplier terms govern the provision of travel services; (2) these Terms govern our platform, booking process, and our relationship with you.

11. Traveler Responsibilities & Obligations

You must provide accurate, complete, and truthful information when creating an account and making bookings, including traveler names exactly as they appear on government-issued ID. For air travel and international bookings, names must exactly match passports or government-issued ID – name errors may result in denied boarding, for which you are responsible.

You are solely responsible for obtaining and maintaining valid travel documents including passports (with at least 6 months’ validity for many countries), visas, government-issued ID, and minor travel consent letters. You are responsible for determining and complying with all entry requirements, health requirements (vaccinations, health certificates), and applicable laws of your destination.

Optional booking fields: Travel Suppliers may include optional fields on the booking form (such as a free-text “special requests” field) for you to communicate preferences directly to the Travel Supplier. Please do not include health, medical, or other sensitive information in these fields. tripla USA, Inc. does not intentionally collect consumer health data, including as defined under the Washington My Health My Data Act, and any such information you voluntarily provide is handled in accordance with our Privacy Policy.

You represent and warrant to us that: (1) you have the full legal capacity to make the transaction; (2) the Payment Instrument you use is your own or you are authorized to use it, and there are sufficient funds; (3) the payment details you provide are fully correct; (4) you will not resell any Travel Products booked through our Platform; (5) you are not subject to any international sanctions program or restrictions; and (6) if applicable, you will satisfy all tax obligations as required by applicable law.

No speculative bookings: You may not make bookings with intent to cancel if you find a better deal. No fraudulent activity: using stolen credit cards, providing false identity information, or manipulating our platform to obtain lower prices is strictly prohibited.

12. Prohibited Uses of Platform

13. Travel Risks, Conditions & Safety Disclaimers

Travel inherently involves risks. By booking and traveling, you acknowledge and assume these risks.

You represent and warrant that: you own or have rights to the content you submit; content does not violate any intellectual property, privacy, or other rights; content is accurate and based on your personal experience; and your content should not include personal information of third parties.

Reviews must be based on genuine stays. We reserve the right to monitor, edit, or remove content at our discretion. We will notify you of the reason for removal unless doing so would breach the law, compromise an investigation, or cause harm. Only certified guests who have booked through us and not canceled their booking are invited to submit a review.

We do not pre-screen or verify all content. Content reflects individual opinions and experiences, not our views. We make no representations about the accuracy, reliability, or completeness of user-generated content.

WE DO NOT WARRANT THAT OUR PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT INFORMATION WILL BE ACCURATE, COMPLETE, OR CURRENT; THAT DEFECTS WILL BE CORRECTED; OR THAT RESULTS OBTAINED FROM PLATFORM USE WILL BE RELIABLE.

WE MAKE NO WARRANTIES REGARDING THE QUALITY, SAFETY, OR CONDITION OF SUPPLIER SERVICES; SUPPLIER HONORING OF RESERVATIONS; ACCURACY OF SUPPLIER DESCRIPTIONS, PHOTOS, OR AMENITIES; SUPPLIER AVAILABILITY OR SOLVENCY; OR TRAVEL SAFETY, SECURITY, OR CONDITIONS.

SAVINGS CLAUSE: Some states do not allow disclaimer of implied warranties. Portions of this section may not apply to you. You may have additional rights under state law. Nothing in this section limits consumer protection rights under California, Washington, Hawaii, Florida, or other applicable state law.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPLA USA, INC.’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR PLATFORM SHALL NOT EXCEED THE LOWER OF: (A) THE AGGREGATE COST OF YOUR PURCHASED TRAVEL PRODUCT AS SET OUT IN THE CONFIRMATION EMAIL; OR (B) USD 250 (OR ITS EQUIVALENT IN LOCAL CURRENCY).

IN NO EVENT SHALL TRIPLA USA, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY.

We are not liable for: travel supplier failure to provide services; supplier negligence or misconduct; supplier bankruptcy, insolvency, or closure; flight cancellations, delays, or missed connections; travel delays, quarantines, or border closures; lost, delayed, or damaged baggage; or denied boarding or entry. We are not liable for Force Majeure Events or third-party services accessed through our platform.

In case of an overcharge or mischarge caused by us, you can make a claim regarding all erroneous charges notwithstanding the above. Claims should be submitted as soon as possible.

STATE LAW LIMITATIONS: Some states do not allow limitation of liability for consequential damages, personal injury, or death. In such states, our liability is limited to the maximum extent permitted by law. Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or violations of mandatory consumer protection laws.

CALIFORNIA RESIDENTS: Under California Civil Code Section 1542, you waive unknown claims against us, but California Seller-of-Travel law rights cannot be waived.

20. Indemnification by User

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless tripla USA, Inc., its parent, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use or misuse of our Platform
  • Your violation of these Terms or any applicable law
  • Your bookings and travel activities
  • Your conduct during travel or at supplier properties
  • Your user-generated content (reviews, photos, etc.)
  • Your fraud, negligence, or willful misconduct
  • Disputes between you and travel suppliers or other users

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You may not settle any claim affecting us without our prior written consent.

21. Force Majeure

We shall have no liability to you for any breach of these Terms caused by any event or circumstance beyond our control including, but not limited to: acts of God (earthquakes, floods, hurricanes, pandemics, epidemics); war, armed conflict, terrorism, civil unrest, insurrection; government orders, travel bans, quarantines, border closures, sanctions; labor disputes, strikes; supplier bankruptcy, insolvency, or cessation of operations; power outages, internet disruptions, telecommunications failures; and cyber-attacks or ransomware.

During a Force Majeure Event, our obligations are suspended to the extent affected. If a Force Majeure Event continues for more than 30 days, either party may terminate affected bookings without liability beyond refunding amounts paid (subject to supplier refund policies). Travel insurance may provide coverage for Force Majeure events (check your policy).

22. Dispute Resolution, Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution (Required First Step)

Before initiating arbitration or litigation, you agree to first contact us to attempt to resolve the dispute informally. Send a written description of the dispute to: CFO, tripla USA, Inc., Columbia Tower, 701 Fifth Avenue, 42nd Floor, Seattle, WA 98104-5119; or email: [email protected]. Include: your name and contact information; booking confirmation number (if applicable); description of dispute; and relief sought. We will respond within 30 days. Both parties will negotiate in good faith for 60 days before arbitration may be initiated.

Mandatory Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms, your use of our Platform, or bookings made through our Platform (“Claim”) will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), including the AAA’s Consumer Arbitration Rules, as modified by these Terms. You and we agree that this clause evidences a transaction in interstate commerce and this arbitration provision will be interpreted and enforced in accordance with the U.S. Federal Arbitration Act and federal arbitration law.

Arbitration will be held in a reasonably convenient location in the state in which you reside or at another mutually agreed location. Any arbitration will be confidential. Judgment on any arbitration award may be entered in any court having proper jurisdiction.

Fees: We agree to pay all filing, administration, and arbitrator fees other than the initial filing fee that you must pay to file the initial arbitration demand. If your claim is for less than USD $1,000, we will reimburse you for the filing fee if you provide a written request for reimbursement.

Exceptions to arbitration: Small claims court; injunctive relief to protect intellectual property rights; emergency injunctive relief based on exigent circumstances; and claims for public injunctive relief that cannot be waived.

Class Action Waiver

YOU AND TRIPLA USA, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS.

If the class action waiver is found unenforceable, the arbitration agreement remains enforceable for individual claims. If you opt out of the arbitration agreement, this class action waiver will not apply to you.

Jury Trial Waiver

IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Opt-Out Procedure

You may opt out of this binding arbitration provision within 30 days after this clause comes into effect (the earliest of: (a) the date you first used our Platform; (b) the date you first used our services; or (c) the date you started a relationship with us). To opt out, send written notice:

  • By email to [email protected] with the subject line: “Terms of Service – U.S. Opt Out Notice”
  • By regular mail or courier to: CFO, tripla USA, Inc., Columbia Tower, 701 Fifth Avenue, 42nd Floor, Seattle, WA 98104-5119

We must receive your opt-out notice no later than 3 days after the Opt Out Deadline for it to be valid. If you opt out, disputes will be resolved in court.

State-Specific Notices

CALIFORNIA: California law may limit enforceability of arbitration clauses and class action waivers in consumer contracts. California residents may have additional rights under California Seller-of-Travel law that cannot be waived. WASHINGTON: Washington law may restrict arbitration in consumer contracts. Consult RCW 19.86 and related statutes.

Venue (if litigation permitted): Subject to the arbitration provision, exclusive venue is in King County, Washington state or federal courts. Exception: consumers in states requiring home-state venue may litigate in their home state.

23. State Law Consumer Protection Overrides

NOTHING IN THESE TERMS LIMITS, WAIVES, OR EXCLUDES ANY RIGHTS YOU MAY HAVE UNDER APPLICABLE FEDERAL, STATE, OR LOCAL CONSUMER PROTECTION LAWS.

To the extent any provision of these Terms conflicts with mandatory consumer protection laws of your jurisdiction, that provision shall be reformed to the minimum extent necessary to comply with applicable law, or if reformation is not possible, severed from these Terms. You have the right to file complaints with state attorneys general or consumer protection agencies, pursue claims under state consumer protection statutes, seek remedies provided by applicable Seller-of-Travel laws, and seek reimbursement from consumer restitution funds or bonds.

24. Account Termination & Suspension

tripla USA, Inc. may suspend or terminate your account immediately, with or without notice, for: violation of these Terms; fraud, misrepresentation, or providing false information; abusive, threatening, or harassing conduct; illegal activity; multiple chargebacks or payment disputes; circumventing security measures; or non-payment of amounts owed.

Upon termination: immediate loss of account access; pending bookings may be canceled at our discretion; outstanding amounts remain due and payable; you are prohibited from creating new accounts. Data retention after termination: we may retain your data as required by law or for legitimate business purposes. Reinstatement: contact customer support. If your account was suspended or terminated in error, we may reinstate at our sole discretion after investigation.

Upon account termination, your rights to access, correct, or request anonymization of your personal data under our Privacy Policy remain in full effect. To exercise these rights following account termination, contact [email protected]. We will process verified requests by instructing tripla Co., Ltd. to anonymize the associated personal data in a manner that is irreversible and no longer linkable to you, consistent with our Privacy Policy.

Booking and transaction records are treated separately from your account/profile information described above. Where applicable law (including California, Washington, Hawaii, and Florida Seller-of-Travel recordkeeping requirements) requires us to retain booking or transaction records for a defined period, we will retain those records for that period — currently three years from the date of travel completion or booking, as described in Section 9 — notwithstanding a request to delete or anonymize your account, on the basis that such retention is necessary to comply with a legal obligation. Once that retention period has ended, we will anonymize the applicable booking and transaction records using the same process described above, so that they can no longer be used to identify you. This approach allows us to honor your deletion request as to your account and profile information while continuing to meet our independent recordkeeping obligations as a Seller of Travel. See our Privacy Policy for further detail on this retention and anonymization process.

You may terminate your account at any time through Account Settings > Close Account, or by contacting customer support. You remain responsible for pending bookings and amounts owed after termination.

25. Modifications to These Terms

tripla USA, Inc. reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify you of material changes by email at least 30 days before the effective date, by prominent notice on our Platform, and by in-account notification. Material changes include changes to cancellation or refund policies, pricing or fee structures, limitation of liability, dispute resolution provisions, or your rights and our obligations.

Your continued use of our Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to modified Terms, stop using our Platform before the effective date and close your account. Each version of these Terms is identified by a version number (e.g., v1.0, v1.1) and effective date, and the booking date and time of your reservation identifies which version of these Terms applies to that booking. Prior versions remain accessible via versioned links (e.g., /terms/v1-0) provided on the current version of these Terms.

For your convenience, our Platform and these Terms exist in a number of languages and local versions but have originally been drawn up in the English language. In case of conflict between the English language version and a translated version, the English language version shall prevail.

26. General Legal Provisions

Entire agreement: These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and tripla USA, Inc. regarding use of our Platform and supersede all prior agreements.

Severability: If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions remain in full force. No waiver: Our failure or delay in exercising any right does not constitute a waiver. Any waiver must be in writing.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate, acquirer, or successor entity.

Relationship: No agency, partnership, joint venture, or employment relationship is created between you and tripla USA, Inc. by these Terms. You have no authority to bind tripla USA, Inc..

Third-party beneficiaries: These Terms are for the benefit of you and tripla USA, Inc. only, except that our affiliates (including tripla Co., Ltd. as the provider of the Platform infrastructure), and our and their respective officers, directors, employees, and agents, are intended third-party beneficiaries of the indemnification, disclaimers, and limitation of liability provisions under these Terms, and shall have the right to enforce such provisions directly against you.

Electronic communications: You consent to receive electronic communications from us (email, platform notifications, text messages if you opt in). Electronic communications satisfy any legal requirement that communications be in writing.

Statute of limitations: Any claim arising from these Terms must be filed within one (1) year after the claim arises, or the shortest period permitted by mandatory consumer protection law. Claims not filed within the limitation period are permanently barred.
